The Federal Bridge Web Site is comprised of various Web pages operated by Insurance Agency Marketing Services, Inc. (“IAMS”).

The Federal Bridge Web Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Federal Bridge Web Site constitutes your agreement to all such terms, conditions, and notices.

Modification of These Terms of Use

Federal Bridge reserves the right to change the terms, conditions, and notices under which the Federal Bridge Web Site is offered, including but not limited to the charges associated with the use of the Federal Bridge Web Site.

Links to Third Party Sites

The Federal Bridge Web Site may contain links to other Web Sites. The Linked Sites are not under the control of Federal Bridge and Federal Bridge is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Federal Bridge is not responsible for webcasting or any other form of transmission received from any Linked Site. Federal Bridge is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Federal Bridge of the site or any association with its operators.

No Unlawful or Prohibited Use

As a condition of your use of the Federal Bridge Web Site, you warrant to Federal Bridge that you will not use the Federal Bridge Web Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Federal Bridge Web Site in any manner which could damage, disable, overburden, or impair the Federal Bridge Web Site or interfere with any other party’s use and enjoyment of the Federal Bridge Web Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Federal Bridge Web Sites.

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE Federal Bridge WEB SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. Federal Bridge AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE Federal Bridge WEB SITE AT ANY TIME. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IAMS, Federal Bridge AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE Federal Bridge WEB SITE, WITH THE DELAY OR INABILITY TO USE THE Federal Bridge WEB SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE Federal Bridge WEB SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE Federal Bridge WEB SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF IAMS or Federal Bridge OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE Federal Bridge WEB SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE Federal Bridge WEB SITE.

Termination/Access Restriction

Federal Bridge reserves the right, in its sole discretion, to terminate your access to the Federal Bridge Web Site and the related services or any portion thereof at any time, without notice. Use of the Federal Bridge Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and Federal Bridge as a result of this agreement or use of the Federal Bridge Web Site. Federal Bridge’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Federal Bridge’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Federal Bridge Web Site or information provided to or gathered by Federal Bridge with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Federal Bridge with respect to the Federal Bridge Web Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Federal Bridge with respect to the Federal Bridge Web Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.

Notices and Procedure for Making Claims of Copyright Infringement

Pursuant to Title 17, United States Code, Section 512(c)(2), notifications of claimed copyright infringement under United States copyright law should be sent to Service Provider’s Designated Agent. Federal Bridge Terms and Conditions

  1. Access to use the Federal Bridge software and program is intended to be used by financial professionals (“Advisor” or “you”) for their own educational benefit. you agree to be legally bound by this agreement and comply with its terms. If you do not agree to all of the terms laid out here, please do not use the software or any of the Federal Bridge program.
  2. The Federal Bridge platform is owned and hosted by Insurance Agency Marketing Services, Inc. (“IAMS” or “we” or “us”) with authorized licensure of certain intellectual property from third parties. Without limitation, IAMS retains all exclusive rights, titles, interests, and any other legal rights to the Federal Bridge program, website, tools, and all related material and content.
  3. You are permitted to a limited License to use the Federal Bridge software, tools, and other program content and materials provided you comply with all requirements, covenants, payments, restrictions and other applicable terms and conditions stated herein or provided otherwise to you. Certain software, educational content, marketing materials, and certification programs that are made available through the Federal Bridge program are provided by third parties under authorization.  IAMS disclaims any responsibility, liability or other liability for your use of the program, materials, credential or any other bases.
  4. You are specifically prohibited from charging, or requesting donations, for any copies of the Federal Bridge and from distributing the software and/or documentation with other products (commercial or otherwise) without prior written permission. Simultaneous use of the software by multiple users is not allowed.
  5. For corporate users and financial advisers, this license entitles one person to use the software. Use of the same software by other users, even if not simultaneous, is not allowed, unless you purchase additional licenses. This limited license may be used by one Advisor plus his or her assistant only. A solo Advisor is a single financial planner, advisor, broker, and/or financial professional who practices in his or her own firm without another such professional as a partner, shareholder or employee. This limited license agreement expressly prohibits group practice models from sharing a solo Advisor license. If the firm has more than one Advisor and they work in a team environment either each advisor must purchase his or her own license.
  6. By agreeing to use the Federal Bridge you agree NOT to modify, reverse engineer, decompile, or disassemble it except to the limited, if any, extent that applicable laws may prohibit such restriction.
  7. This limited License will automatically terminate without further notice to you in the event that you are in breach of any term of this limited License, as solely and reasonably determined by us.
  8. The following paragraphs shall survive termination of this License: The Federal Bridge is provided on an “as is” basis. IAMS disclaims all warranties, whether expressed or implied, with regard to the Federal Bridge, including without limitation all warranties of noninfringement, merchantability, or fitness for a particular purpose. In no event will IAMS be liable for any damages in excess of the amount that IAMS received from you for a license to the Federal Bridge, even if IAMS shall have been informed of the possibility of such damages, or for any claim by any other party. Some jurisdictions do not allow exclusions of an implied warranty, so this disclaimer may not apply to you and you may have other legal rights that vary by jurisdiction. In no event will IAMS, its licenser(s) and the directors, officers, employees or agents of any of them be liable to you for any damages of any kind under any theory of liability suffered by you or anyone else arising out of the use or inability to use the Federal Bridge even if IAMS or its licenser(s) have been advised of the possibility of such damages.  The foregoing limitations shall not apply to the extent that applicable laws may prohibit such limitations.  No IAMS dealer, agent, or employee is authorized to make any modifications, extensions, or additions to this warranty.  The Federal Bridge is for estimating purposes only. The application was written to give only an estimate of financial scenarios and not an exact representation of any investment or savings strategy.  In no event will IAMS, its licenser(s) and the directors, officers, employees or agents of any of them be liable to you for any damages of any kind for your investment or savings strategy or for the accuracy of the calculations in this program.  You agree that IAMS, its licenser(s) and the directors, officers, employees or agents are not advocating, recommending, or advising you with respect to any specific investment strategy, and are NOT providing investment advice. You agree that we are not liable for any investment losses or for your financial planning. You agree that that IAMS has no role, responsibility, or liability in connection with your use of any of the Federal Bridge program or software, including but not limited to recommendations you may make to the public or any clients.
  9. IAMS does not store any investment or bank account usernames or passwords. IAMS is not responsible for any losses due to a breach of any databases.
  10. IAMS will never sell or give your data away to any third party.
  11. Once you purchase the Federal Bridge, you will be signed up for automatic renewal of your subscription. You will be notified via email 30 days before the renewal occurs. You must contact IAMS if you would like to cancel your subscription renewal and therefore avoid the renewal charge.
  12. There are no refunds for the Federal Bridge program.
  13. Advisor agrees that he or she will make all required payments for use of the Federal Bridge software and program, the applicable fee structure for which will be posted and made available to Advisor. The current fee structure is attached and available here as Attachment A. Fees and other charges in connection with the software and program are subject to change at any time on the Advisor at the Advisor’s annual renewal.  Such fees will be noted in the annual fee structure.
  14. Advisor expressly agrees that in order to participate in the Federal Bridge program that all insurance carrier contracts will be through the IAMS carrier contracting hierarchy, without exception. Only carriers available to Advisor through the IAMS hierarchy may be used for purposes of soliciting and placing insurance business. Advisor acknowledges that such requirement is good and valuable consideration for IAMS’ willingness to allow Advisor access to the Federal Bridge program.  Any deviation from this requirement, such as “selling away”, or failing to use IAMS as the exclusive IMO outlet for insurance business will result in Advisor’s termination from access to the program but all required fees shall be due and payable by Advisor within 10 days.
